1. Agreement to Terms

These Terms of Service (“Terms”) govern your use of TradeAdapt.ai and all associated products, software, and services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must immediately discontinue use of our Services.

We reserve the right to update these Terms at any time. Changes take effect immediately upon posting. Your continued use after modifications constitutes acceptance of the updated Terms. You are responsible for reviewing these Terms regularly.

2. Eligibility and Account

You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use our Services. By subscribing, you confirm that all information you provide is accurate and current.

You are responsible for maintaining the security of your account credentials. Any activity under your account is your responsibility. Notify us immediately if you suspect unauthorized access.

TradeAdapt.ai may suspend or terminate accounts that violate these Terms or engage in fraudulent or abusive behavior.

3. Service Description

TradeAdapt.ai provides trading tools, indicators, and educational resources for use with third-party platforms like NinjaTrader and TradingView. Our Services are provided “as-is” without warranties of any kind.

We do not guarantee uninterrupted, error-free service. Data feeds, calculations, and signals may contain errors or delays. You must independently verify all information before trading.

Our Services are educational tools only and do not constitute financial advice or investment recommendations. All trading decisions are your sole responsibility.

4. Intellectual Property

All software, code, algorithms, graphics, content, and materials provided through our Services are the exclusive property of TradeAdapt.ai and protected by copyright and intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable license for personal use only. You may not copy, modify, distribute, reverse-engineer, or create derivative works from our Services.

Unauthorized reproduction or distribution will result in immediate account termination and possible legal action.

5. Prohibited Uses

You agree not to:

• • Use the Services for any unlawful purpose
• • Attempt to bypass security measures or access restrictions
• • Upload malicious code, viruses, or harmful software
• • Scrape, harvest, or automate data collection from our Services
• • Interfere with or disrupt the Services or servers
• • Misrepresent your relationship with TradeAdapt.ai
• • Resell, redistribute, or commercially exploit our Services

Violations may result in immediate termination without refund.

6. Payment and Billing

Subscription fees are charged monthly or annually based on your selected plan. Payment is due immediately upon purchase and at each renewal. All prices are in U.S. dollars unless stated otherwise.

By providing payment information, you authorize TradeAdapt.ai to charge your payment method for all applicable fees. You must keep payment information current.

Subscriptions automatically renew unless cancelled before the renewal date. We may modify pricing with 30 days’ notice. Continued use after price changes constitutes acceptance.

7. Refunds and Cancellations

New customers may request a full refund within 30 days of their first purchase. This guarantee applies once per customer and does not apply to subsequent purchases or renewals.

After 30 days, all payments are final and non-refundable. You may cancel your subscription at any time by contacting support@tradeadapt.ai. Access continues through the end of your current billing period.

No partial refunds are provided for unused time, except where required by law.

8. Trading Risks and Disclaimers

TRADING INVOLVES SUBSTANTIAL RISK OF LOSS. You acknowledge that most traders lose money and you could lose your entire investment. Past performance does not guarantee future results.

TradeAdapt.ai provides software tools only. We are not financial advisors, brokers, or investment professionals. Our Services do not constitute personalized financial advice.

Performance examples, backtests, and hypothetical results have significant limitations and may not reflect actual trading outcomes. Real trading involves factors absent from simulations.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADEADAPT.AI IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING TRADING LOSSES, LOST PROFITS, OR DATA LOSS ARISING FROM YOUR USE OF THE SERVICES.

Our total liability for any claim shall not exceed the amount you paid to TradeAdapt.ai in the 12 months preceding the claim.

Some jurisdictions do not allow certain liability limitations. If applicable to you, some limitations may not apply.

10. Indemnification

You agree to indemnify and hold TradeAdapt.ai harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate this agreement at any time. You may cancel through your account or by contacting support. TradeAdapt.ai may terminate your access immediately for violations of these Terms or at our discretion.

Upon termination, your access ends immediately. Provisions that should reasonably survive termination will remain in effect.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.

Disputes shall be resolved through binding arbitration under American Arbitration Association rules. You waive the right to jury trial and class action proceedings.
